Terms & Conditions
	The following are an indicative but not exhaustive set of terms and conditions of an order. There may be changes to these in the form of bank guarantee/ demand draft/NSC/ fixed deposit unconditionally pledged in favour of the Financial Advisor & Chief Account officer, OCC as bond for satisfactory performance of the computer hardware, standard computer software, peripherals, networking components, uninterrupted power supply units, related product & services .The form of bank guarantee will be released to agency on successfully completion of the guarantee period. The performance guarantee may be invoked and/or any other action permitted under law may be taken against the agency in the event of breach of any of the terms of an order.
	4) Delivery : All the computer hardware ,standard computer software, peripherals, networking components, uninterrupted power supply units, related product & services as may be ordered from time to time shall be delivered to the company secretary, OCC or as may be desired by the company secretary, OCC .The selected agency shall make delivery of all the ordered computer hardware, standard computer software, peripherals, networking components, uninterrupted power supply units, related product & services and complete the installation thereof on or before the 15th day of the date of an order or may be directed by the company secretary, OCC.
	5) Delay in delivery : Time installation and quality of computer hardware, standard computer software, peripherals, networking components, uninterrupted power supply units, related product & services are the essence of al the procurements. The selected agency has to understand this prior to accepting an order. Penalty @ 10% of the order value per day or part thereof shall be leveled on the selected agency for delay in delivery subject to maximum of 10% of the order value.In the event of delivery/ Installation being delayed for more than ten days, OCC shall have the right to cancel the purchase order and/or take any other action permitted under law.
	6) Price: The price to be quoted by the agency against each inquiry shall be firm and inclusive of al charges including manufacturing , testing and performing quality control operation, packing, forwarding to the place of delivery as may be directed by the company secretary, OCC, installing at the place of delivery to the company secretary's may be mentioned in an order and ensuring satisfactory performance of all the ordered items during the guarantee period.
	7) Damage/Loss of hardware during transit : In the event of any damage or loss of any item as may be specified in an order , the agency has to immediately restore such hardware/ software/ components within thirty days of the particular order to OCC.Any claims in insurance shall be handled by the agency without affecting the interest of OCC.
	8) Earnest Money and Contract Performance Security: All the bids received in response to an inquiry shall be accompanied by an earnest money of minimum 2% of the offered price in favour of OCC in form of bank guarantee / demand draft / NSC / Fixed deposit unconditionally pledged in favour of the Financial Advisor & Chief accounts Officer, OCC. Such earnest money of the selected agency for a particular order shall be treated as contract Performance Security till such agency successfully discharges the order as per the term and conditions of the order. Such contract performance guarantee may be invoked and/ or any other action permitted under law may be taken against such agency in the event of breach of any of the terms of any order .The earnest money of the agencies shall be returned on completion of the ordering process.
	9) Performance Guarantee: An agency on whom an order is placed shall furnish a Performance Guarantee of minimum 10% of the order value in favour of OCC in the form of bank guarantee /demand draft/ NSC/ fixed deposit unconditionally pledged in favour of the Financial advisor & chief Accounts Officer, OCC as a bond for successfully performance of the ordered computer hardware , standard computer software , peripherals uninterrupted power supply units, related product & services. Such performance guarantee shall be furnished by the agency along with the ills. Such performance guarantee may be invoked and/or any other action permitted under law may be taken against such agency in the event of breach of any of the terms of an order. Such performance guarantee shall be to the agency on successfully completion of the guarantee period.
	10) Billing Advice: The selected agency shall request for billing instruction from OCC before delivery against each order and raise the bill accordingly.
	11) Payment terms: The general payment terms is 100% within thirty days from date of delivery and installation computer hardware ,standard computer software, peripherals, networking components, uninterrupted power supply units, related product & services, submission of the invoice and submission of Performance Guarantee in the approved format or date of any these event s is the latest.
	12) Breach of contract : OCC shall have right to invoke the contract performance guarantee/ performance guarantee and/ or take other action permitted under law in the event of breach of any of the terms of an order. OCC shall have the right to recover all right to take shelter o any court of law as defined herein after i the event of breach of any of the clauses of an order.
	13) Force Majeure : All orders shall be subject to the force majeure conditions defined under the Indian Contract Act current on the dates of such orders.
	14) Clarification of doubts: For any doubt on any of the terms of this achievement, the applicants may please refer to the company secretary, OCC for clarification .
	15) Disputes: Any disputes arising out of an order referred shall be referred to the Managing Director, OCC whose decision shall be final and binding on both OCC and the related agency(s).
	16) Jurisdiction of courts: All orders and all contracts arising out of an inquiry shall be subject to the jurisdiction of the courts of Bhubaneswar and the high court of Orissa only.
	17) Documents to be submitted along with the offer : All applicants have ton furnish all the information and documents as per annexure-II of this inquiry failing which their application shall stand the chance of summary rejection. In case an agency has furnished all the information as per annexure-II and submitted the documents as per annexure-II within one month of the date of this advertisement, such agency may not be submit the documents again. In such circumstance such agency shall inform clearly about such submission furnishing the reference failing which their application shall stand the chance of summer rejection.
	18) Exclusion : OCC reserves the right to issue or withhold the issue of an inquiry to a particular vendor irrespective of the empanelment. You are requested to read, understand this advertisement, sign, seal on all pages of your application and submit to the Company Secretary, OCC within seven days of date of this advertisement. (P. K.
